1. Acceptance of these terms
By installing or using the Clauge desktop or mobile applications (the "Software") or signing in to Clauge's cloud service (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Software or the Service.
Clauge is provided to organizations. You may use the Software and the Service only as an authorized user of an organization that has entered into a commercial agreement with us. These Terms apply to your use as an individual user; the commercial relationship between us and your organization is governed by that organization's agreement (see Enterprise agreements).
2. The service
Clauge is a proprietary, cross-platform desktop application (macOS, Windows, Linux) with companion mobile apps, providing an integrated workspace for development teams — including REST tooling, SQL/NoSQL database tooling, SSH, workspace notes and boards, and AI-assisted features. The Service refers to the cloud-hosted backend that provides, among other things:
- Sign-in via your organization's identity provider
- Cloud storage and cross-device sync of your workspace data (notes, boards, connection profiles, collections, and related configuration)
- Sharing of resources within your organization
- Organization administration, provisioning, and usage reporting
- AI request processing using your organization's configured AI provider
Clauge is an enterprise product. There is no self-serve signup and no individual purchase: organizations are provisioned by us under a commercial agreement, and each organization's administrator manages which users may access it. Individuals cannot register or purchase Clauge independently.
3. Enterprise agreements and precedence
Your organization's use of Clauge is governed by a written commercial agreement between your organization and us (the "Enterprise Agreement"). If there is any conflict between these Terms and a signed Enterprise Agreement, the Enterprise Agreement prevails. These Terms apply to matters the Enterprise Agreement does not address, and to your individual conduct as a user of the Software and the Service.
4. Accounts and sign-in
Signing in is required to use Clauge. Sign-in is performed through enterprise single sign-on using the identity provider configured for your organization (currently Microsoft Entra ID). Your account is created and managed through your organization: you must be authorized by your organization's administrator, and your administrator controls whether and how you may access the Service.
You are responsible for maintaining the security of the identity you use to sign in and for activity that occurs under your session. You may not impersonate another person or entity or share your access with anyone not authorized by your organization. We, or your organization's administrator, may suspend or terminate access that we reasonably believe violates these Terms or your organization's policies.
5. Acceptable use
You agree not to:
- Copy, modify, distribute, reverse-engineer, decompile, or attempt to extract the source code of the Software, except as expressly permitted in License
- Use the Service in a manner intended to overload, disrupt, or degrade it (including but not limited to automated scraping, denial-of-service attempts, or abusive request volume)
- Upload content that is illegal, infringing, defamatory, or that contains malware
- Use the Service to violate the rights of any third party
- Resell, sublicense, or commercially redistribute the Software or the Service, or rebrand either and offer it as your own product
- Bypass authentication, authorization, entitlement checks, or rate limits, or access data belonging to another organization or user without authorization
6. License
Clauge is proprietary software. The application and its source code are not published or licensed for redistribution. We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the pre-built application binaries we distribute, solely as permitted by these Terms and the Enterprise Agreement between us and your organization.
You may not copy (except as reasonably necessary to use the application), modify, distribute, sell, lease, reverse engineer, decompile, or attempt to extract the source code of the application, except to the extent such restriction is prohibited by applicable law.
7. Organization data and administration
"Your Content" means the data you create or store through the Service — including workspace notes and boards, SSH connection profiles, database connection configurations, REST collections and requests, and AI conversation history. As between you and us, you and your organization retain ownership of Your Content; as between you and your organization, ownership and permitted use are determined by your organization's policies and the Enterprise Agreement.
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, encrypt, and process Your Content solely as necessary to provide the Service — for example, to sync it across your devices and to share it within your organization where you or your administrator choose to. Connection secrets and credentials are stored encrypted.
Clauge is workplace software administered by your organization. Your organization's administrator can provision resources to your account, manage shared resources, and view administrative information about users in the organization — including per-user and per-mode usage metrics, application versions, online status, and audit logs of significant account and administrative actions. 8. AI features
AI-assisted features are processed through our backend using the AI provider account and keys configured by your organization's administrator. When you use an AI feature, your prompts and relevant context are transmitted to the applicable AI model provider to generate a response. Your administrator controls whether AI features are enabled and which provider is used.
AI-generated output is produced by machine-learning models and may be inaccurate, incomplete, or inappropriate for your purpose. You are responsible for reviewing output before relying on it or executing it. We do not use Your Content or your AI conversations to train AI models.
9. Trademark
"Clauge" and the Clauge logo are trademarks of the maintainer. These Terms do not grant you any right to use the Clauge name, logo, or other marks. You may not use them in a way that suggests your product or service is endorsed by or affiliated with Clauge.
Nominative fair use (e.g., "compatible with Clauge", "import from Clauge") is permitted.
10. Fees
Fees for Clauge are set out in the Enterprise Agreement between us and your organization. There is no self-serve purchasing and no in-app billing; individual users are not charged directly by us.
11. Availability
We aim to keep the Service available and reliable, but these Terms do not include a service-level commitment. Any uptime, support, or service-level commitments are those set out in your organization's Enterprise Agreement, if any. The application caches data locally so that already-loaded data remains usable during temporary loss of connectivity; the Service remains the system of record.
12. Termination
Your access to the Service is tied to your organization's Enterprise Agreement and to your authorization by your organization's administrator. Your access ends when that agreement ends, or when your administrator deactivates your account.
We may suspend or terminate your access if you materially breach these Terms, if your use creates a security or legal risk, or if we are required to do so by law. Where reasonable we will provide notice and a chance to cure. Upon termination, the license granted in License ends and you must stop using and uninstall the Software, except as your organization's Enterprise Agreement provides otherwise.
13. Disclaimers
THE SOFTWARE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY, EXCEPT AS EXPRESSLY SET OUT IN A SIGNED ENTERPRISE AGREEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or free from data loss. Your organization is responsible for maintaining its own backups of any critical data.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLAUGE, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE OR THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOUR ORGANIZATION PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100). ANY DIFFERENT LIMITATION AGREED IN A SIGNED ENTERPRISE AGREEMENT PREVAILS OVER THIS SECTION.
15. Indemnity
You agree to indemnify and hold harmless Clauge and its maintainers from any claim, demand, loss, or liability (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any applicable law or third-party right.
16. Governing law and disputes
These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, India, except where a signed Enterprise Agreement between us and your organization provides otherwise.
17. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page and, where appropriate, by notifying your organization or you through the application or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
